Agreement to our legal terms

We are Pratik Kumar Jain d/b/a ListN (“Company,” “we,” “us,” “our”). We operate the ListN website (https://www.uselistn.com) and the ListN mobile application (the “App”), as well as other related products and services that reference these legal terms (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Our Services

ListN is a voice-first, AI-powered task management tool available via web and mobile application. It is designed for personal and internal business use. Access from other jurisdictions is at your own initiative and you’re responsible for local law compliance.

2. Intellectual Property Rights

We own or license all intellectual property in the Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (“Content”), and the trademarks, service marks, and logos (“Marks”). Content and Marks are provided “as is” for your personal or internal business use.

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print portions of the Content you properly access for personal or internal business use. Any other use requires our prior written permission.

3. User Representations

• You have legal capacity and agree to these Terms;
• You are at least 18 years old;
• You will not access via automated or non-human means;
• You will not use the Services for illegal or unauthorized purposes; and
• Your use complies with applicable laws and regulations.

4. Prohibited Activities

• Data scraping or compiling databases without written permission;
• Security circumvention or interference with features;
• Harassment, abuse, or harmful use of obtained information;
• Uploading malware or harmful code;
• Automated use, robots, spiders, or scraping tools;
• Impersonation or account selling/transferring;
• Reverse-engineering or creating a competing product;
• Violations of data protection or other laws; and
• Unauthorized commercial use or advertising within the Services.

5. User Generated Contributions

Users may input or upload content (e.g., voice tasks, notes, reminders) (“Contributions”). Users retain ownership of their Contributions but grant us a license to host, process, store, transmit, and display them to operate and improve the Services. You are responsible for your Contributions and their legality.

6. Contribution License

You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, host, store, process, transmit, and display Contributions as needed to provide and improve the Services. Feedback may be used without restriction or compensation.

7. Services Management

We may monitor, remove, or restrict content, and manage the Services to protect our rights and ensure proper operation.

8. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate access at any time for any reason, including violations.

9. Modifications and Interruptions

We may modify or discontinue the Services at any time. We are not liable for downtime or interruptions.

10. Governing Law

These Terms are governed by the laws of California, United States, without regard to its conflict of law principles.

11. Dispute Resolution

Informal Negotiations

The parties will first attempt to resolve any dispute in good faith for 30 days before initiating arbitration.

Binding Arbitration

If unresolved, disputes will be resolved by binding arbitration in California, United States under the rules of the American Arbitration Association (AAA). Arbitration will be conducted on an individual basis; class actions are not permitted. A small-claims court action may be brought instead where allowed.

12. Corrections

We may correct errors or update information on the Services at any time without notice.

13. Disclaimer

The Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties to the fullest extent permitted by law. AI-assisted features may produce errors; you are responsible for verifying critical outputs.

14. Limitations of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the Services is limited to the lesser of (a) the amounts you paid to us in the last 6 months, or (b) $500 USD. Any claim must be brought within 1 year(s) after it arose.

15. Indemnification

You agree to indemnify and hold us harmless from losses, claims, and expenses arising from your use of the Services or breach of these Terms.

16. User Data

We may retain data as needed to provide the Services. You are responsible for backing up your data. We are not liable for loss or corruption of data.

17. Electronic Communications, Transactions, and Signatures

You consent to receive electronic communications and agree that electronic signatures and records satisfy legal requirements for writings.

18. Miscellaneous

These Terms constitute the entire agreement. If a provision is unenforceable, the remainder survives. We may assign our rights at any time. No waiver is implied by delay or omission.
